By accessing, joining, or using any Designed Forward service, platform, or community, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions in their entirety. If you do not agree, you must not access or use our services.
These Terms & Conditions ("Agreement") constitute a legally binding contract between you ("Member," "Client," or "you") and Omnia Consulting Ltd. ("Company," "we," "us," or "our"), a business registered in British Columbia, Canada, operating the Designed Forward brand. These terms govern your access to and use of all Designed Forward services.
By accessing or using any Designed Forward service, you represent and warrant that:
The Designed Forward Community provides Members with access to discussion forums, educational resources, community events, peer support, and AI-assisted coaching features. Community access is subject to availability and may be modified, suspended, or terminated at our discretion.
Matt AI is an artificial intelligence coaching assistant developed by Omnia Consulting Ltd. and trained on real coaching session data. You acknowledge and agree that:
1:1 coaching sessions are conducted by Matt Karakilic or authorized Designed Forward coaches. Sessions are delivered virtually via video or audio call unless otherwise agreed in writing. Coaching is a professional development service and is not a substitute for licensed mental health, medical, or legal services.
Group coaching sessions, workshops, masterclasses, and community events may be offered to Members at various access tiers. Participation is subject to these Terms, and specific events may carry additional terms communicated at time of registration.
Important Notice: All Sessions are recorded by default. By booking, registering for, or participating in any Session — including 1:1 coaching sessions, group coaching, workshops, and live community events — you provide express, informed consent to recording of the full session (audio and/or video).
All Sessions conducted under the Designed Forward brand are recorded by default. Recordings are made to generate AI-assisted session summaries, support coaching continuity, enable quality assurance, train and improve the Matt AI coaching tool, and for internal administrative and compliance purposes.
Session recordings are processed using AI tools to generate coaching summaries, extract themes, and identify actionable insights. AI processing is conducted by trusted third-party providers operating under confidentiality obligations. We do not permit third-party AI providers to use your personal session data to train their own general models.
You expressly consent to your session recordings, transcripts, and derived coaching data being used — in anonymized and aggregated form — to train, fine-tune, and improve Matt AI. No raw, identifiable recording will be shared with any third party for training purposes without your explicit additional consent.
In group sessions, all participants are subject to this recording and AI-processing policy. By registering for any group session, each participant individually consents to being recorded under these terms.
You may withdraw your consent to recording for future sessions by providing written notice to contact@omnialtd.ca. Withdrawal of consent is not retroactive and does not apply to sessions already recorded.
All prices are denominated in United States Dollars (USD) unless otherwise explicitly stated at time of purchase. Prices are subject to change at any time; changes will not affect services already purchased and paid for.
Payments are processed securely through Stripe, Inc. By completing a purchase, you authorize Designed Forward to charge your selected payment method for the applicable amount. We do not store your full credit card or banking details.
Unused sessions that expire within their validity window are forfeited without refund unless exceptional circumstances are agreed upon in writing by Designed Forward.
Subscription tiers are available exclusively to clients who have completed a Designed Forward 90 Day Intensive or a minimum of twelve (12) coaching sessions.
Community+ is a community membership tier including access to the Matt AI coaching tool and two (2) group coaching sessions per month.
Community+ memberships renew automatically at the applicable rate. Early cancellation of a committed plan will result in outstanding months being repriced at the standard monthly rate of $149 USD/month, with any balance charged prior to service termination. Matt AI is available exclusively as part of the Community+ membership and is not offered as a standalone product.
Sessions may be cancelled or rescheduled with a minimum of twenty-four (24) hours notice at no charge. Cancellations or rescheduling requests received with less than 24 hours notice will result in forfeiture of that session. No refund will be issued for late cancellations.
Subscriptions may be cancelled by providing thirty (30) days written notice to contact@omnialtd.ca. Access continues for the remainder of the current billing cycle. No partial-month refunds are provided.
Designed Forward reserves the right to cancel or reschedule any session due to coach unavailability, illness, or other circumstances beyond our reasonable control. In such cases, we will reschedule at no additional charge or provide a session credit.
Due to the personalized, time-intensive, and immediately-delivered nature of coaching services, all sales are final. Refunds are not issued for:
In exceptional and documented circumstances (e.g., serious illness, bereavement, or force majeure), Designed Forward may, at its sole discretion, issue a session credit or partial credit. As a Member, you agree to engage with respect, integrity, and professionalism at all times. The following conduct is strictly prohibited:
The Designed Forward Community is a private, members-only environment. Members agree not to screenshot, record, reproduce, distribute, or otherwise disclose Community content outside of the platform without the express written consent of the individual who shared it. This obligation survives termination of membership.
Designed Forward reserves the right to remove any content that violates these standards, suspend or permanently terminate any member's access, and pursue legal remedies for serious violations. No refund will be issued upon termination for breach of community standards.
All content created, developed, or provided by Designed Forward — including coaching frameworks, assessment tools, worksheets, recordings, Matt AI outputs, written resources, session summaries, and brand assets — is the exclusive intellectual property of Omnia Consulting Ltd.
Members are granted a limited, non-exclusive, non-transferable, revocable licence to access and use Designed Forward Content solely for their own personal professional development. This licence does not permit you to copy, reproduce, distribute, sell, or use any Content for training AI or machine learning models.
By submitting content within the Community, you grant Omnia Consulting Ltd. a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, display, and distribute your Member Content for the purpose of operating, promoting, and improving Designed Forward Services. You retain ownership of your Member Content.
Coaching is not therapy. Designed Forward services are professional coaching and personal development services. They are not a substitute for licensed mental health treatment, psychological or psychiatric care, medical advice, legal counsel, or financial advisory services.
Matt Karakilic and Designed Forward coaches are professional coaches. They are not licensed therapists, psychologists, psychiatrists, physicians, lawyers, or financial advisors. Nothing communicated during any Session, through Matt AI, or through any Designed Forward content constitutes professional therapeutic, medical, legal, or financial advice.
If you are experiencing a mental health crisis, thoughts of self-harm, or any medical emergency, please contact emergency services or a qualified mental health professional immediately.
The Services are provided on an "as is" and "as available" basis without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Designed Forward and Omnia Consulting Ltd. expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, Omnia Consulting Ltd., its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use of the Services. In all cases, our aggregate liability shall not exceed the total amount paid by you to Designed Forward in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Omnia Consulting Ltd., Designed Forward, Matt Karakilic, and their respective directors, officers, employees, contractors, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your use of the Services, your breach of this Agreement, or your violation of any third-party rights.
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. Key points:
Our Services operate on and integrate with third-party platforms including Circle, Stripe, Telegram, Signal, and AI processing providers for session transcription and summarization. Your use of these platforms is subject to their own terms of service and privacy policies. Designed Forward is not responsible for the practices of any third-party platform.
Omnia Consulting Ltd. reserves the right to modify these Terms & Conditions at any time. When we make material changes, we will update the "Last Updated" date, post the revised terms within the Community, and provide notice via email to registered Members. Your continued use of the Services following notice of changes constitutes your acceptance of the revised terms.
You may discontinue use of the Services at any time. To cancel a subscription, you must provide 30 days written notice as set out in Section 6.2. Discontinuation does not entitle you to a refund except as required by mandatory applicable law.
Designed Forward may suspend or terminate your access to any or all Services at any time, with or without notice, for any reason, including breach of this Agreement, non-payment of fees, or conduct harmful to the Community.
Designed Forward shall not be liable for any failure or delay in performance of its obligations caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, or power failures.
This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
Before initiating any formal legal proceeding, you agree to contact us at contact@omnialtd.ca and provide a written description of the dispute. The parties agree to attempt in good faith to resolve the dispute informally within thirty (30) days of notice.
If informal resolution fails, each party irrevocably submits to the exclusive jurisdiction of the courts of British Columbia, Canada for the resolution of any dispute arising out of or related to this Agreement.
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as part of a class, collective, consolidated, or representative action.
